Selling a metal fabrication shop: buyers

Who Buys Metal Fabrication Shops? The 2026 Buyer Groups, What Each Pays, and What Each Checks in Diligence

By Michael Hummel, Managing PartnerUpdated October 2026How we produce thisData set 2026Q4
Quick answer

Four groups buy metal fabrication shops: private strategics, which drove 2026 deal growth with 56 deals year to date; private equity platforms and add-ons, at 23.4% of 2026 deals; public strategics; and SBA-financed individuals and search funds. Shop size decides which groups show up. Individuals price on SDE, near 2.93x at the median. Platforms and strategics price on EBITDA and pay more for aerospace qualification.

Who buys metal fabrication shops, and what does each buyer group pay?

Four groups buy metal fabrication shops: private strategics, public strategics, private equity platforms with their add-ons, and individual buyers financed with SBA loans, including search funds. Capstone Partners' October 2026 Metals Manufacturing report counts 56 private strategic deals in 2026 year to date, up 47.4% year over year, and names private strategics the main driver of deal growth. PE platform investments made up 23.4% of year-to-date deals, and add-ons rose 40%. The same report shows tariff volatility, rates and geopolitics pushed volume down for four years to 137 deals in 2025, so the 2026 rebound starts from a low base.

Buyer groupFits a shop withPrices onWhat it checks in diligence
Private strategics (competing fabricators, service centers, suppliers to your customers)Any size, when your shop adds customers, capacity or a certificationEBITDA plus the synergies it can see; no published multiple for private dealsCustomer overlap, contract assignability, certifications, key welders and programmers
Public strategics (Mayville Engineering, Hill & Smith)Larger shops: the two disclosed deals carried $95.0M and $140.5M enterprise valuesEBITDA; Accu-Fab closed at 10.0xFinancial reporting quality, end-market mix, integration fit
PE platforms and add-onsPlatforms: companies in the $10M to $500M TEV band GF Data tracks. Add-ons: smaller shops that bolt onto a platformEBITDA; manufacturing PE deals at 7.1x TTM adjusted EBITDA in H1 2026Quality of earnings, management depth, capex history, customer concentration
SBA-financed individuals and search fundsA price an SBA 7(a) loan can reach, capped at a $5M loanSDE; 2.26x to 3.72x interquartile for metal product makers sold 2021 to 2025Tax returns, 1.25x historical coverage, lender valuation, owner dependence

The groups price different earnings numbers. An individual who will run the shop prices seller discretionary earnings: net profit plus one owner's full compensation plus documented add-backs. A platform or strategic that will install a manager prices EBITDA, which is SDE minus a market-rate salary for that manager. Mixing the two produces an asking price no buyer in either group can underwrite. The full multiple tables are on what a metal fabrication shop is worth.

If your earnings sit near the line between tiers, put both groups in one process, because an SBA buyer at 2.93x SDE and a platform pricing EBITDA can produce very different numbers for the same shop.

Which private equity firms are buying metal fabrication shops in 2026?

ATL Partners, Pelican Energy Partners, Pacific Avenue Capital Partners, Platinum Equity and Revelar Capital back the five platforms that have published releases on recent metal fabrication deals.

  • Precise Aerospace & Defense: ATL Partners launched this platform in October 2026 by acquiring Precise Metal Products from Staple Street Capital.
  • Riggins Company: acquired by Pelican Energy Partners in July 2026.
  • AMICO: a Pacific Avenue Capital Partners portfolio company, added Accurate Perforating and Accurate Metal Fabricating as an add-on.
  • Tongrun International: a sheet metal contract manufacturer, took a Platinum Equity investment in January 2026.
  • Steele Solutions: Revelar Capital's platform acquired Maysteel Industries as an add-on in April 2026.

Read these releases for what the sponsors bought, not just who bought. Two of the five are add-ons, consistent with the 40% year-over-year rise in add-ons. A newly launched platform such as Precise Aerospace & Defense is built to take add-ons in its niche. The Tongrun and Maysteel releases, along with Hill & Smith's Freeberg deal, cite data center and power infrastructure exposure: enclosures, racking and containment. If your shop builds any of those, put it first in your materials.

Worked example: a $2,200,000 EBITDA shop

Private equity metal fabrication buyers price EBITDA. Take a shop with $9,000,000 in revenue and $2,200,000 of EBITDA after a $150,000 general manager salary. Its SDE would be $2,350,000, but no platform prices that number, because the platform has to pay the manager. Applying EBITDA multiples to the $2,200,000:

EBITDA benchmarkEV/EBITDAImplied value on $2,200,000 EBITDA
GF Data: manufacturing PE deals, $10M to $500M TEV, H1 20267.1x$15,620,000
Metal Finishing Systems to Six USA, $2.3M deal, February 20267.7x$16,940,000
Accu-Fab to Mayville Engineering, $140.5M deal, May 202510.0x$22,000,000

No source publishes a lower middle market EBITDA multiple for metal fabrication, so these rows are brackets, not a quote. The October 2026 report's sector average of 11.2x for 2025 to YTD 2026, up from 8.6x in 2023 to 2024, includes deals as large as the $140.5M Accu-Fab purchase. The SBA's $5M loan maximum cannot finance a price at these levels, so this shop's buyers are platforms, add-on buyers and strategics.

Platform diligence asks for a quality of earnings review, monthly financials, a management team that stays after you leave, customer concentration, end-market mix and capex history. Equipment the buyer finds needing replacement comes off the price, not off the $2,200,000 EBITDA before the multiple is applied. Before you talk to a sponsor, have a monthly EBITDA bridge, a capex history and an end-market revenue split ready, since a platform's first diligence list asks for each of them.

How do strategic buyers and service centers value a metal fabrication shop?

Strategic buyers, meaning competing fabricators, metals service centers and the suppliers your customers already use, pay for what your shop adds to their business, not for what it earns on its own. Private strategics drove 2026 deal growth with 56 deals year to date. Public strategics come with disclosed prices: Mayville Engineering bought Accu-Fab for $140.5M at 10.0x EV/EBITDA in May 2025, and Hill & Smith bought an 80% stake in Freeberg Industrial Fabrication at a $95.0M enterprise value.

Do not anchor on Freeberg. The October 2026 report describes it as about 8.5x EV/EBITDA in its text and 17.9x in its transaction table, and dates it April 2026 in one place and 03/11/26 in the other. A buyer quoting either number to you is quoting a figure its own source does not reconcile.

A strategic models your revenue on its own cost structure, and it discounts revenue it believes it already has. A competitor that shares your largest customers sees less new business than one entering your region. The strategic that pays up is the one gaining new customers, capacity, or a certification it lacks. Service centers run the same math from the other side: fabrication capacity lets them sell processed parts instead of stock, so they value your cutting, forming and welding throughput.

Strategic diligence covers customer contracts and whether they assign to a new owner, overlap with the buyer's accounts, certification status and audit dates, key welders and programmers, and an equipment list with age and condition. The October 2026 report flags aftermarket and repair revenue as improving margin and visibility, so break that revenue out on its own line if you have it.

Aerospace, defense and medical niches

Aerospace and defense qualification carries the clearest premium in the sector data: A&D-focused metals manufacturers averaged 10.8x EV/EBITDA against 9.4x for the sector from 2019 to YTD 2026. Capstone's October 2026 report points to AS9100D, ISO 9001 and ITAR in the PrecisionX deal. The same report contrasts A&D with peers in cyclically vulnerable end markets, so expect buyers to ask for revenue by end market across several years.

No published data covers medical device fabrication, so treat this as general reasoning rather than market evidence: a supplier approval takes time for a new owner to earn, which gives a buyer without one a reason to value yours. Certifications and registrations held by your entity can be affected by deal structure. Read asset sale vs stock sale and settle structure before the LOI, because an asset sale can force a strategic buyer to requalify what it priced into its offer.

Will an SBA buyer or search fund buy my metal fabrication shop?

Yes, when the price fits an SBA 7(a) loan. Individuals using SBA loans are a common buyer for owner-run shops, though no public source measures their share. BizBuySell's benchmarks for metal product manufacturing businesses sold 2021 to 2025 show median revenue of $1.7M, median SDE of $347,500 and a median sale price of $1.1M, with SDE multiples of 2.26x at the lower quartile, 2.93x at the median and 3.72x at the upper quartile. The category includes fabricators and other metal product makers; there is no fabrication-only cut.

Worked example: a $280,000 SDE shop

Take a shop with $1,200,000 in revenue and $280,000 of SDE. Applying the sold-business quartiles to SDE:

QuartileSDE multiplePrice on $280,000 SDE
Lower quartile2.26x$632,800
Median2.93x$820,400
Upper quartile3.72x$1,041,600

Here is what the lender does between LOI and closing on a deal this size under SOP 50 10 8.1, in force since October 1, 2026:

  • Coverage. The SBA requires at least 1.25x debt service coverage on historical results, the last fiscal year or a two-year average, for Initial Acquisitions and Owner Buyouts. Projections cannot be used to meet it. Seller debt on full standby is left out of the debt service.
  • Valuation. Every price in the table is above $350,000, so the lender must order an independent business valuation from a Qualified Source, prepared for the lender. Total acquisition debt, meaning the SBA loan plus any seller note not on full standby, cannot exceed that valuation. If the appraisal lands below your price, the gap gets closed with buyer equity, a standby note, or a lower price.
  • Equity. On a complete change of ownership the buyer injects 10% of total project cost, and up to half can be a seller note on full standby, so 5% buyer cash plus a 5% standby note is common. If total project cost equaled the $820,400 median-multiple price, the injection would be $82,040, and your standby note could cover up to $41,020 of it. That note takes no principal or interest payments for the life of the SBA loan; interest can accrue and is paid after the loan is repaid.
  • Term and fee. The acquisition portion amortizes over no more than 10 years. For FY 2027, loans of $700,000 or less to manufacturers (NAICS 31 to 33) carry a 0% upfront guarantee fee, which lowers a buyer's closing cost at the low end of this example.

At a business purchase price of $3,000,000 or more on an Initial Acquisition, SOP 50 10 8.1 also requires a quality of earnings report that cannot be prepared by or for the seller, and the lender uses its normalized earnings in the coverage test. The $5M loan maximum caps how large a shop an SBA buyer can reach.

Search funds

A search fund is a buyer who raised investor capital to find, buy and run one company as its CEO. Expect a longer diligence list than an individual buyer brings, because investors review the deal, and expect questions about whether anyone below you can run the floor. A search fund that also uses SBA debt runs on the same coverage and valuation rules, and minority investors holding under 20% count only as a limited source toward the injection.

Both buyer types check tax returns against the books, owner dependence (who quotes, who programs, who holds the customer relationships), welder and machinist retention, equipment condition and customer concentration. Run your trailing earnings through the SBA loan calculator at 1.25x before you set a price, because the lender will run the same test against the same tax returns.

How do I pick the right buyer for my metal fabrication shop?

Pick by the earnings number your shop can support and the outcome you want after closing: the most cash at close, a stake you keep, or continuity for your crew.

Your goalBuyer that fitsWhat you trade for it
Highest headline priceA strategic gaining customers or a certification, or a platform building in your niche, such as ATL Partners' Precise Aerospace & DefenseHeavier diligence, a quality of earnings review, integration terms
Keep a stake and a second sale laterA PE platform offering rollover equityYou sell the rest on the sponsor's timeline
Keep the crew and the name togetherAn SBA-financed individual or search fundPrice must clear 1.25x historical coverage and the lender's valuation; you may carry a standby note
Sell to your employeesManagement buyout or ESOPSame 1.25x test; an ESOP acquiring at least 51% control is exempt from the equity injection
Speed to an offerA buyer already searching for a shop like yoursLess price tension than a competitive process

Start with your earnings. If your shop earns SDE near the $347,500 sold-business median, your realistic field is SBA individuals, search funds and local strategics. If it earns EBITDA in the millions after a manager salary, the SBA's $5M loan maximum cannot cover the price, and the field becomes metal fabrication acquirers with institutional capital: platforms, add-on buyers and public strategics.

We run sell-side processes for shops from $1M to $30M in enterprise value. Nothing is listed publicly. Your shop goes out as a blind profile, and only buyers who have signed an NDA and been vetted for capital and fit see the name. If your shop matches one of our active buyer clients, the buyer pays our fee and you pay nothing, and a matched introduction can produce an offer within weeks. If we run a confidential search, the fee is a success fee paid at closing with no monthly retainer, and a $5,000 engagement deposit is credited against it. Plan on 3 to 6 months from decision to signed LOI and 60 to 90 days from LOI to close, depending on financing and diligence.

If your shop fits Munera's $1M to $30M range, the first step is a blind profile shared only with NDA-signed, capital-vetted buyers, never a public listing.

Frequently asked questions

Who buys metal fabrication shops?+

Private strategics, PE platforms and their add-ons, public strategics, and SBA-financed individuals and search funds. Family offices and industrial holding companies can also show up, and they price like a strategic if they own a related business and like a financial buyer if they do not. Ask every buyer early how it will finance the deal, because the financing decides which rules set the price.

Are PE firms buying small fab shops?+

Yes, as add-ons to platforms they already own. The platform already has accounting, purchasing and sales in place, so an add-on buyer can underwrite your shop with the overhead it plans to remove. That gives an add-on buyer room to bid above what your shop is worth to a stand-alone buyer.

Do strategic buyers pay more?+

Not by default. A strategic pays more when it counts new customers, capacity or certifications, and less when it believes your revenue overlaps its own. The public strategic deals in the sector give no clean average, since one of the two disclosed deals carries conflicting multiples in its own source. To find out which buyer pays more for your shop, put strategics and financial buyers in the same process.

What certifications do buyers want?+

The PrecisionX deal named AS9100D, ISO 9001 and ITAR registration. Buyers check whether each certification is current, when the next surveillance audit falls, and whether it survives the deal structure. A lapsed certificate found in diligence turns into a price or escrow discussion.

Can I sell to my employees?+

Yes, through a management buyout financed with an SBA loan or through an ESOP. A management buyout or ESOP runs on the same 1.25x historical coverage test that applies to Initial Acquisitions and Owner Buyouts, so the price has to fit the earnings. An ESOP that acquires at least 51% control is exempt from the equity injection, which removes the down payment hurdle employee buyers face.

How long does it take to sell a metal fabrication shop?+

Plan on 4 to 8 weeks of preparation and 2 to 4 months of marketing before offers firm up. After the LOI, an SBA buyer's timeline depends on the lender's valuation, plus a quality of earnings report when the price is $3,000,000 or more. Platform buyers run their own quality of earnings review, and clean monthly financials make that stage shorter.
